  PRC's Interim Provisions for the Regulation of Resident
Representative Offices of Foreign Enterprises 

(issued by the State Council on October 30, 1980)

Article 4: Depending on the nature of business, applications for the establishment of foreign resident representative offices are to be approved by the pertinent authorities, as follows:

a. International trade and production-oriented enterprises: Ministry of Foreign Trade and Economic Cooperation

b. Financial and insurance enterprises,People's Bank of China

c. Marine shipping companies and ocean shipping agents: Artic
Ministry of Communications

d. Air cargo companies:
The State Administration for Civil Aviation

e. Other businesses:
Individual governing authorities based on the type of business.

Article 5: Upon receipt of approval of its application to establish a resident
representative office, a foreign enterprise shall, within 30 days of the date of approval, complete the registration procedures to receive a registration certificate from the State Administration for Industry andCommerce. Any enterprise failing to do so must return the original pproval ceriticate.

Article 6: Upon receipt of approval of the application to establish a resident representative office, the office personnel and their family members may apply for resident status from the local security authorities.

Article 7: Application for change(s) in business status, such as changes in names, addresses, types of business, shall be submitted to the same authoritiy issuing the approval certificate. Upon receipt of approval of change(s) in business status, the enterprise must register the change(s) with the State Administration for Industry and Commerce.Office personnel and their family members must register the change(s) in their residence permits with the local security authorities.

Article 8: A resident representative office shall, in accordance with the relevant regulations set forth by the Bank of China, present its registration certificate and open an account at the Bank of China or at another bank designated by the Bank of China.

Article 9: A resident representative office and its personnel shall, in compliance with the provisions of PRC's tax laws and regulations, pay appropriate taxes as required.

Article 10: A declaration must be filed with the Chinese Customs Office and appropriate taxes and duties must be paid for articles imported by the resident representative office and its personnel. Imported vehicles and boats shall be registered with the local security authority to obtain license plates and operation permits. Imported goods may not be privately transferred or sold. Approval must be granted from the Customs Office in advance before such sales are made. Imported goods may only be sold to certain State designated stores.

Article 1 1: A resident representative office shall coordinate with the local foreign affair authorities or other designated government units in such matters as renting offices or hiring employees.
